Harare man on bail over alleged forged CR6 directorship at Adlan Auto Spares

A Harare man has been granted bail after appearing in court on allegations he used forged company documents to list himself as a director of an auto parts business.
Julius Mugariri appeared before Harare magistrate Ruth Moyo facing a forgery charge. He was granted bail and remanded to a later date.
The State alleges that in May 2022 Mugariri submitted a CR6 form that listed him as a director of Adlan Auto Spares (Private) Limited without approval from the company’s shareholders or board of directors.
The case surfaced after Pamela Chidikwindi, who had power of attorney to run the company’s affairs while director Brian Ndudzo underwent medical treatment, ordered a review of the business operations, the court heard. The review allegedly raised concerns which then led to a forensic audit by TMC Chartered Accountants.
Prosecutors told the court that investigators later found company records showing Mugariri had been registered as a director through the filing of a CR6 form. The State alleges that no company resolution authorising the directorship change could be produced, as required under the Companies and Other Business Entities Act.
The State further alleges that neither the shareholders nor the board approved Mugariri’s appointment.
When questioned, Ndudzo reportedly denied appointing Mugariri as a director, saying he had only served as the company’s manager. Prosecutors said Mugariri claimed he had been appointed before Ndudzo fell ill and suggested the director may have forgotten due to memory problems linked to his illness.
The matter was subsequently reported to police, leading to Mugariri’s arrest, the court heard.
